Customized 1031 has published a new educational resource examining debt replacement in 1031 exchanges and the role that leveraged and zero-cash-flow Delaware Statutory Trusts may play in certain replacement-property strategies.
The new guide addresses a planning issue that can become important when an investor sells leveraged real estate but wants the replacement portfolio to carry a different debt profile. Debt relief, new financing, additional cash, and leverage within replacement assets can affect the exchange. The resource is designed to help investors identify those moving parts early and bring informed questions to their professional team.
The guide outlines several approaches an investor may evaluate, including financing replacement real estate, contributing additional cash, combining multiple replacement assets, or considering a leveraged DST. The resource also clarifies a point that is often misunderstood: paying off a mortgage at closing does not necessarily eliminate the debt-replacement consideration. Depending on the transaction, that debt may be replaced with additional cash or, potentially, a DST that already has non-recourse financing in place. It also explains how zero-cash-flow DSTs differ from income-oriented offerings. These structures generally use higher leverage and direct available operating cash toward debt service rather than current investor distributions, which can make them relevant in some debt-replacement situations while introducing meaningful tradeoffs.

“Debt replacement can look straightforward on paper, but it sits at the intersection of tax planning and the investment decision,” said Doug Zator, Founder and Managing Director of Customized 1031. “The goal is not to add leverage simply because the property being sold had debt. Investors need to understand the complete exchange, the risks of the replacement assets, and what the next investment should accomplish before a deadline starts driving the decision.”
The resource also gives significant attention to risk. Highly leveraged DSTs can involve limited liquidity, property and tenant risk, sponsor risk, financing risk, fees, uncertain distributions, and possible loss of principal. Zero-cash-flow structures may provide little or no current income. The guide emphasizes that a debt-replacement benefit should not substitute for due diligence or individualized tax and legal review. It also notes that using a DST does not, by itself, make an exchange compliant.
Customized 1031 works with accredited real estate investors nationwide. The firm encourages investors to begin planning before the relinquished property closes, particularly when financing or debt relief may affect the available strategies. In a typical deferred exchange, the 45-day identification period can leave little room to resolve major investment and financing questions after closing.
The publication expands Customized 1031’s Resource Center with a focused explanation of a topic often mentioned in broader 1031 and DST discussions but rarely addressed in depth. Investors, brokers, and professional advisors can review the new educational resource as part of pre-sale planning and due diligence.
